By accepting a quotation, signing a contract, paying a deposit or other payment, confirming instructions in writing, or permitting us to commence work, you agree to these Terms and Conditions together with the applicable quotation, scope of works, invoice and any written variation agreed between the parties.
Where the Client is a consumer, nothing in these Terms and Conditions is intended to exclude or restrict any statutory rights that cannot legally be excluded or restricted.

1. Our Services
Uz Pro Construction LTD provides construction and renovation services, primarily including:
- Bathroom renovation
- Bathroom refurbishment
- Tiling
- Wall and floor tiling
- Walk-in showers and wetroom works
- Shower installations
- Bathroom plumbing-related installation works where specifically included in the quotation
- Bathroom fixture and sanitaryware installation
- Waterproofing and tanking where specifically included
- Preparation, removal and associated renovation works where specifically included
- Other construction, renovation, tiling or associated services specifically agreed in writing
The exact services provided for each project will be determined by the individual quotation and agreed scope of works.
The quotation takes priority in determining exactly what work is included in a particular project.
2. Contract Documents
The contract between the Company and Client may consist of:
- The accepted quotation
- Scope of works
- These Terms and Conditions
- Any signed project agreement
- Invoices and payment schedules
- Written variation agreements
- Written confirmations of additional work
- Any drawings, specifications or schedules expressly incorporated into the quotation
If there is a conflict between documents, the specific project quotation or subsequently agreed written variation will generally take priority over these general Terms and Conditions for that particular item.
Any verbal discussion, estimate, suggestion or indication that is not included in the agreed quotation should not be treated as part of the contracted scope unless subsequently confirmed by the Company.
3. Quotations
3.1 Quotation validity
Unless otherwise stated in the quotation, quotations are valid for 14 days from the quotation date.
After this period, the Company may revise the quotation before the Client accepts it.
3.2 Labour-only quotations
Unless expressly stated otherwise, quotations provided by Uz Pro Construction LTD are LABOUR ONLY.
The quotation price does not include customer materials, sanitaryware, tiles, adhesives, grout, sealants, waterproofing products, fixtures, fittings, appliances, electrical accessories or other materials unless specifically stated.
3.3 No automatic inclusion
If an item, service, material or installation is not specifically included in the agreed quotation, it should be treated as excluded.
Descriptions, photographs, drawings, examples or discussions may assist in explaining the proposed works but do not automatically create additional contractual obligations.
3.4 Pricing assumptions
Our quotation is based on the information available to us and the visible condition of the property at the time of quotation.
The price may need to be revised where conditions are discovered that could not reasonably have been identified before works commenced.
4. Labour-Only Basis
Our standard business model is to provide labour and installation services while the Client supplies the required materials, fixtures, fittings and products.
Where the Client supplies materials:
- The Client is responsible for purchasing the correct products.
- The Client is responsible for ensuring that sufficient quantities are available.
- The Client is responsible for checking product specifications, dimensions, colours and compatibility.
- The Client is responsible for ensuring products are delivered to site at the required time.
- The Client remains responsible for manufacturer warranties relating to products purchased by the Client.
- The Company is not responsible for delays caused by unavailable, incorrect, defective, damaged or late materials supplied by the Client.
Where incorrect or unsuitable materials prevent work from continuing, additional labour, waiting time, return visits, collection, delivery or other costs may be chargeable.
5. Materials Purchased or Supplied By Uz Pro Construction
Although our standard quotations are labour only, the Client may ask us to purchase or collect materials on the Client's behalf.
Where we agree to do so:
- The materials remain the Client's responsibility and are not automatically included within the labour quotation.
- The Client must pay the cost of the materials and any agreed associated collection, delivery or procurement costs.
- We may require payment before purchasing or collecting materials.
- We will provide copies of available receipts or purchase records for transparency.
- Materials purchased specifically for the Client are not refundable by the Company merely because the Client later changes their mind, except where required by law or where the supplier accepts a return.
- Bespoke, made-to-measure, special-order or non-returnable products may not be capable of cancellation or return.
- Any additional labour resulting from incorrect, defective, delayed or changed materials may be charged separately.
The Company is not responsible for manufacturer defects in materials unless the defect was caused by our workmanship.
6. Client-Supplied Materials
Where materials are supplied by the Client, the Client remains responsible for selecting suitable products.
The Company may reasonably refuse to install a product if, in our professional opinion, it is:
- Clearly defective
- Damaged
- Unsafe
- Incompatible with the intended installation
- Incomplete
- Incorrectly sized
- Unsuitable for the intended application
- Missing required components
- Contrary to manufacturer installation requirements
If the Client instructs the Company to proceed despite an identified issue, the Company may require written confirmation of the Client's instruction before proceeding.
Additional work resulting from unsuitable Client-supplied materials may be treated as a variation.
7. Material Quantities and Wastage
Clients are responsible for ensuring sufficient materials are available unless the Company has expressly agreed in writing to calculate and procure the materials.
For tiles, the Client should allow for appropriate cutting, wastage, breakages and future replacements.
Tile quantities may be affected by:
- Tile size
- Pattern
- Room dimensions
- Direction of installation
- Niches
- Sloping surfaces
- Mitred edges
- Feature areas
- Layout changes
- Breakages
- Manufacturer batch availability
Where additional materials are required, the Client is responsible for supplying or paying for them.
8. Existing Conditions and Hidden Defects
Our quotation is based on visible and reasonably accessible conditions.
Renovation work frequently reveals conditions that cannot reasonably be identified before removal or opening-up works.
These may include:
- Rotten timber
- Damaged plasterboard
- Failed plaster
- Structural defects
- Water damage
- Damp
- Mould
- Defective waterproofing
- Defective pipework
- Corroded pipes
- Incorrect drainage
- Defective soil pipes
- Blocked drains
- Non-compliant previous installations
- Unsafe electrical wiring
- Damaged cables
- Asbestos or other hazardous materials
- Structural movement
- Uneven or unsuitable substrates
- Hidden leaks
- Concealed damage
- Poor previous workmanship
- Unexpected construction methods
Where such conditions are discovered, the Company will notify the Client where reasonably practicable.
Additional investigation, remedial work, materials, labour or specialist services required because of such conditions will not be included in the original quotation unless expressly stated.
Such work may be treated as a variation.
9. Asbestos and Hazardous Materials
The Company does not provide asbestos surveying, asbestos removal or hazardous-material removal unless expressly agreed and appropriately qualified contractors are engaged.
If suspected asbestos or another hazardous substance is discovered, the Company may stop the affected work until the material has been appropriately assessed and, where necessary, removed by a suitably qualified specialist.
Any resulting delay or additional cost may be chargeable to the Client where permitted by law.
10. Structural, Architectural and Design Services
Unless expressly stated in the quotation, Uz Pro Construction LTD does not provide:
- Structural engineering
- Architectural design
- Structural calculations
- Drainage design
- Building surveying
- Planning consultancy
- Building Control consultancy
- Specialist damp investigation
- Asbestos surveying
- Specialist electrical design
- Specialist gas design
Where these services are required, the Client is responsible for appointing an appropriately qualified professional unless we expressly agree otherwise in writing.
11. Planning, Building Regulations and Third-Party Approvals
Unless expressly included in the quotation, the Client is responsible for obtaining any required:
- Planning permission
- Building Regulations approval
- Building Control approval or inspection
- Freeholder approval
- Leaseholder approval
- Landlord approval
- Managing agent approval
- Housing association approval
- Listed-building or conservation-area permissions where applicable
- Other third-party permissions
The Company may assist with practical arrangements where expressly agreed, but responsibility for obtaining required approvals remains with the Client unless the Company has expressly contracted to provide that service.
Any work requiring a specialist certification or inspection should be identified before work begins where reasonably possible.
12. Electrical Work
Electrical work will only be included where specifically stated in the quotation.
Where electrical work requires a qualified or registered electrician, the Company may use an appropriately qualified electrician or specialist contractor.
Any certificate specifically included in the quotation will be identified in the scope.
Where certification, testing or inspection is not included in the quotation, the Client is responsible for arranging and paying for it unless otherwise agreed.
13. Plumbing, Drainage and Existing Services
Where the Company connects new fixtures to existing plumbing or drainage systems, the work is based on the assumption that the existing system is reasonably suitable for connection.
We are not responsible for pre-existing defects within:
- Water supply pipes
- Waste pipes
- Soil pipes
- Drainage systems
- Shared drainage systems
- Sewer systems
- Existing valves
- Existing connections
- Existing pumps
- Existing heating systems
- Other concealed services
Where existing systems require modification, repair, replacement or upgrading beyond the original quotation, additional charges may apply.
Drainage surveys, CCTV surveys, specialist leak detection and other specialist investigations are excluded unless specifically stated.
14. Waterproofing and Tanking
Where waterproofing, tanking or a wetroom system is included, the Company will install the agreed system in accordance with the scope and, where applicable, the relevant manufacturer's installation requirements.
Waterproofing is limited to the areas specified in the quotation.
Waterproofing does not constitute a guarantee against every possible future water-related problem.
The Company is not responsible for water ingress caused by:
- Existing structural defects
- Movement or settlement
- Defective existing plumbing
- Defective drainage
- Building movement
- Defective products
- Subsequent alterations
- Damage to the waterproofing system after completion
- Failure to maintain sealants
- Work carried out by third parties
- Conditions outside the agreed waterproofing scope
15. Tiling and Finishes
Tiling is a skilled installation process and is subject to reasonable practical tolerances.
The Client acknowledges that natural and manufactured tiles may contain variations in:
- Shade
- Tone
- Texture
- Dimensions
- Flatness
- Thickness
- Pattern
- Surface finish
Natural stone and certain manufactured products may have greater natural variation.
The Company is not responsible for manufacturer variations or defects in Client-supplied tiles.
Reasonable cuts, joints, grout lines, lippage and minor variations may occur depending on the tile, substrate and installation conditions.
Where the Client requires a specific tile pattern, book matching, vein matching, particular grout colour, mitred corners, feature alignment or other specialist finish, this must be expressly included in the quotation.
16. Large-Format Tiles
Large-format tiles, including 600mm × 1200mm tiles and similar products, require suitable substrates and appropriate handling.
Where the existing substrate is unsuitable, additional preparation may be required.
The Company cannot guarantee that large-format tiles will produce a perfectly flat visual appearance where the underlying structure or substrate is outside reasonable tolerances.
Additional substrate preparation may be charged where it falls outside the agreed quotation.
17. Client Responsibilities
The Client must:
- Provide safe and reasonable access to the property.
- Provide access to the working area at the agreed times.
- Ensure electricity and water are reasonably available unless otherwise agreed.
- Remove or protect valuables and personal belongings.
- Inform us of known defects, previous leaks, plumbing issues and electrical issues.
- Provide keys, access codes or other access arrangements where required.
- Ensure the property is reasonably suitable for the works.
- Ensure agreed materials are available when required.
- Obtain required permissions unless otherwise agreed.
- Ensure parking, permits, loading restrictions and access arrangements are dealt with where required.
- Ensure any required skip, waste collection or parking arrangements are available where included in the Client's responsibilities.
Failure to provide access or required materials may result in delays and additional costs.
18. Protection of Property
We will take reasonable care when carrying out the works.
However, renovation and construction works inherently involve dust, noise, vibration, movement of materials and disruption.
The Client should remove or appropriately protect valuable, fragile or sentimental belongings.
Existing surfaces and finishes that are retained may be exposed to reasonable risks associated with construction work.
Where a specific item requires specialist protection or removal, the Client should arrange this unless expressly included in the quotation.
19. Waste Removal
Waste removal is included only where specifically stated in the quotation.
Where waste removal is included, the scope will determine what type and quantity of waste is covered.
Additional waste caused by:
- Client materials
- Additional works
- Additional demolition
- Materials outside the agreed scope
- Other contractors
may result in additional charges.
Where a skip, waste collection, permit or parking arrangement is required but not included, the Client is responsible for arranging and paying for it unless otherwise agreed.
20. Parking, Access and Permits
The Client is responsible for informing the Company of parking restrictions, controlled zones, loading restrictions, permits and access requirements.
Where parking permits, suspensions, skip permits, loading arrangements or other access costs are required, these are excluded unless specifically included in the quotation.
Any charges reasonably incurred by the Company due to Client-required parking, access or permit arrangements may be payable by the Client.
21. Project Programme and Estimated Completion Dates
Any stated project duration is an estimate unless the Company expressly agrees a fixed completion date in writing.
Renovation projects can be affected by:
- Hidden defects
- Material delays
- Client changes
- Material availability
- Specialist contractor availability
- Building Control requirements
- Third-party contractors
- Access problems
- Additional works
- Drying and curing times
- Unforeseen site conditions
- Utility issues
- Weather where relevant
- Events outside the Company's reasonable control
A delay does not automatically constitute a breach of contract where the delay results from circumstances outside the Company's reasonable control or from Client or third-party actions.
22. Client Changes
Changes requested by the Client after acceptance of the quotation may affect:
- Price
- Programme
- Materials
- Labour requirements
- Completion date
- Other parts of the project
The Company may require additional payment before carrying out substantial additional work.
23. Variations and Additional Work
A variation is any work, material, service or change outside the agreed scope.
Examples include:
- Additional demolition
- Additional tiling
- Additional plumbing
- Relocation of fixtures
- Additional waterproofing
- Additional preparation
- Structural repairs
- Additional electrical work
- Additional boxing
- Custom shelving
- Additional niches
- Additional fittings
- Changes to agreed tile layouts
- Changes requested by the Client
- Rectification of pre-existing defects
- Work required because of unsuitable Client-supplied materials
Variations will normally be confirmed in writing before work is carried out.
Where immediate action is reasonably necessary to prevent damage, danger or significant delay, the Company may carry out necessary protective or emergency work and notify the Client as soon as reasonably practicable.
The additional work will be charged at the agreed variation price or, where no price has been agreed, at a reasonable rate based on the labour, materials and associated costs involved.
24. Payment Terms
Unless the quotation states otherwise, our standard payment structure is:
30% deposit upon acceptance
40% payment after the first week of works
30% balance upon completion
Alternative payment schedules may be agreed in writing for individual projects.
The Client remains responsible for paying invoices by the due date.
Payment must not be withheld merely because the Client has identified a minor snag or cosmetic issue that does not prevent the relevant work from being used for its intended purpose.
Where there is a genuine dispute regarding part of an invoice, the Client should notify the Company in writing as soon as reasonably possible and clearly identify the disputed amount and reason.
Undisputed amounts remain payable.
25. Deposits
Deposits are used to reserve project dates, allocate labour, organise the project and, where applicable, commit the Company to costs associated with the Client's project.
Where a Client cancels or postpones a project, the Company's rights will depend on the circumstances and applicable consumer cancellation rights.
Where permitted by law, the Company may recover reasonable losses, costs and expenses resulting from a Client cancellation or postponement.
Any cancellation charge or retained amount must be proportionate to the Company's actual or reasonably foreseeable loss and must not remove any mandatory statutory consumer rights.
26. Late Payment
Where an amount is properly due and remains unpaid, the Company may:
- Request payment formally
- Suspend further work where legally permitted
- Reschedule outstanding works
- Recover reasonable costs caused by the delay where legally recoverable
- Seek payment through appropriate legal or debt-recovery procedures
Where applicable, interest may be charged at a reasonable rate permitted by law and/or under the applicable contract.
The Company will not use this clause to restrict any statutory rights available to a consumer.
27. Suspension of Works
The Company may suspend works where reasonably necessary because of:
- Non-payment
- Unsafe working conditions
- Lack of access
- Lack of required materials
- Hazardous materials
- Serious undisclosed site conditions
- Client interference preventing the works from being performed
- Threatening, abusive or inappropriate behaviour towards Company personnel
- Conditions creating a significant health and safety risk
Where works are suspended due to circumstances attributable to the Client, additional reasonable costs arising from the suspension or remobilisation may be chargeable where permitted by law.
28. Termination
Either party may have rights to terminate the contract where the other party commits a serious breach of contract and, where appropriate, fails to remedy that breach within a reasonable period after receiving written notice.
The Client remains responsible for properly payable amounts relating to work completed, approved variations, materials purchased for the Client and other contractual obligations existing at termination, subject to applicable law.
Where the Company terminates because of serious Client breach, the Company may seek recovery of sums legally due and reasonable losses where permitted by law.
Nothing in this section removes any statutory cancellation or consumer rights.
29. Cooling-Off and Consumer Cancellation Rights
Where the Client is a consumer and the contract is entered into at a distance, online, by telephone or away from the Company's business premises, statutory cancellation rights may apply.
Where applicable, the Client may have a 14-day cancellation period.
The Client may request that work begins during the cancellation period. Where the Client makes such a request and subsequently cancels, the Company may be entitled to receive payment for services properly supplied up to cancellation, subject to applicable law and the information provided to the Client before the contract was made.
Where the Client has specifically requested urgent work or circumstances fall within an applicable statutory exception, cancellation rights may differ.
The Company will provide any legally required cancellation information and forms where applicable.
Nothing in these Terms is intended to remove or reduce mandatory statutory cancellation rights.
30. Completion and Snagging
Completion means that the agreed scope of works has substantially been completed and the relevant areas can reasonably be used for their intended purpose.
Minor outstanding items or reasonable snagging items do not necessarily prevent practical completion.
The Client must notify the Company of any alleged defects or incomplete items as soon as reasonably practicable.
The Company should be given a reasonable opportunity to inspect and rectify genuine workmanship defects before the Client engages another contractor to carry out remedial work, except where urgent action is reasonably necessary to prevent further damage or where applicable law provides otherwise.
31. Client Inspection
The Client is encouraged to inspect the works throughout the project and raise concerns promptly.
Where the Client requests a change after a particular stage has been completed, additional work required to alter completed work may be chargeable.
Approval, acceptance or payment for a stage does not remove statutory rights relating to defects that could not reasonably have been identified at that time.
32. Workmanship Warranty
Subject to the terms below, Uz Pro Construction LTD provides a 24-month limited workmanship warranty for workmanship defects caused directly by our work.
The warranty applies only to workmanship supplied by Uz Pro Construction and does not constitute a manufacturer's warranty for products.
The warranty does not cover defects or failures caused by:
- Client-supplied materials
- Manufacturer defects
- Appliances
- Sanitaryware defects
- Tile defects
- Natural material movement
- Building movement
- Settlement
- Structural movement
- Existing plumbing
- Existing drainage
- Existing electrical systems
- Water pressure problems
- Blockages
- Poor ventilation
- Condensation
- Lack of maintenance
- Sealant deterioration through normal use
- Grout deterioration through normal use
- Misuse
- Accidental damage
- Impact damage
- Unauthorised alterations
- Work carried out by third parties
- Changes to the installation after completion
- External water ingress
- Defects unrelated to our workmanship
The warranty becomes applicable after the project has been fully paid for, subject always to statutory rights that cannot legally be excluded.
Where a genuine workmanship defect is established, the Company will normally be given a reasonable opportunity to inspect and rectify the defect.
The warranty does not automatically entitle the Client to replacement of an entire installation where repair of the affected workmanship is reasonably possible.
Nothing in this section restricts statutory consumer rights.
33. Sealants, Grout and Maintenance
Silicone sealants, grout and similar finishing materials naturally require maintenance and may deteriorate over time.
Normal deterioration, staining, cracking caused by movement, poor ventilation, lack of cleaning or lack of maintenance is not automatically a workmanship defect.
The Client is responsible for reasonable maintenance after completion.
34. Manufacturer Warranties
Where products are supplied by the Client, any manufacturer's warranty is between the Client and the relevant manufacturer or supplier.
Where the Company purchases a product on behalf of the Client, the applicable supplier or manufacturer warranty will apply to that product.
The Company will reasonably assist the Client in identifying the relevant supplier where appropriate but does not provide a manufacturer's warranty unless expressly stated.
35. Limitation of Liability
Nothing in these Terms excludes or limits liability where doing so would be unlawful.
This includes liability that cannot legally be excluded or restricted, including applicable liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or statutory consumer rights that cannot legally be excluded.
Subject to the above, the Company will not be responsible for losses that are not reasonably foreseeable or that arise from circumstances outside the Company's reasonable control.
The Company is not responsible for indirect or consequential losses where such exclusion is legally permitted.
This may include, where legally permitted:
- Loss of income
- Loss of profit
- Loss of business
- Loss of use
- Business interruption
- Alternative accommodation costs
- Loss arising from third-party delays
Nothing in this section prevents a consumer from exercising rights or remedies available under applicable law.
36. Existing Property and Third-Party Work
The Company is not responsible for defects caused by previous contractors, previous installations, defective construction or work carried out by third parties.
If another contractor or third party alters, damages or interferes with our work after completion, the resulting issue will not normally be covered by our workmanship warranty.
Where another contractor must complete or modify part of the installation, the Client should notify Uz Pro Construction before the work is altered wherever reasonably possible.
37. Photographs and Project Records
The Company may take photographs of completed or partially completed work for project records, quality control, dispute resolution and insurance purposes.
Photographs will not be used publicly for marketing without appropriate permission where required.
The Company will handle personal information in accordance with its applicable Privacy Policy and UK data-protection requirements.
38. Subcontractors and Specialist Contractors
Uz Pro Construction may use suitably qualified subcontractors or specialist contractors where required for particular aspects of a project.
This may include specialist electrical, plumbing, certification or other works.
The Company remains responsible for work that it has contracted to provide, subject to the agreed scope and these Terms.
39. Health and Safety
The Company will take reasonable steps to carry out works safely.
The Client must not interfere with safety arrangements or instruct workers to carry out unsafe work.
The Company may stop work immediately where it reasonably considers the site or requested work to present a serious health and safety risk.
Any resulting delay or additional work may be chargeable where permitted by law.
40. Client Conduct
The Company expects all Clients, residents, visitors and contractors at the property to behave respectfully towards Company personnel.
Threatening, abusive, discriminatory or violent behaviour will not be accepted.
Where such behaviour creates a genuine safety concern, the Company may suspend or terminate the works subject to the contract and applicable law.
41. Access and Working Hours
Works will normally be carried out during reasonable agreed working hours.
The Client must provide reasonable access to the property.
If the Company is unable to work because access has not been provided, the Client is unavailable, required materials are missing, or another Client-related issue prevents work, the project programme may be affected and reasonable additional costs may apply where permitted.
42. Delays Caused By the Client
The Client may be responsible for reasonable additional costs caused by:
- Late decisions
- Delayed material selections
- Missing materials
- Incorrect materials
- Changes to the scope
- Lack of access
- Failure to provide approvals
- Failure to provide utilities
- Delays caused by other contractors appointed by the Client
- Client-requested pauses
- Failure to make required payments
Any revised programme will be communicated where reasonably practicable.
43. Force Majeure
The Company will not be responsible for delay or failure to perform caused by events beyond its reasonable control.
Examples may include:
- Severe weather
- Flooding
- Fire
- Serious accidents
- Utility failures
- Government restrictions
- Strikes
- Material shortages
- Transport disruption
- Third-party failures
- Serious illness or unexpected unavailability
- Other events that could not reasonably have been prevented or anticipated
Where such an event occurs, the Company will take reasonable steps to minimise disruption.
44. Complaints Procedure
If the Client believes there is a problem with the work, the Client should contact the Company in writing as soon as reasonably practicable.
The complaint should include:
- Client name
- Property address
- Description of the issue
- Relevant photographs where available
- Date the issue was noticed
- Any relevant invoice or quotation reference
The Company will be given a reasonable opportunity to investigate the complaint and, where appropriate, rectify genuine workmanship defects.
The Client should not appoint another contractor to rectify alleged workmanship defects without first giving Uz Pro Construction a reasonable opportunity to inspect and respond, except where urgent action is reasonably required or applicable law provides otherwise.
45. Dispute Resolution
The Company encourages both parties to attempt to resolve disputes through direct written communication first.
If a dispute cannot be resolved, the parties may consider appropriate alternative dispute resolution before commencing court proceedings where appropriate.
Nothing in these Terms prevents either party from exercising a legal right to bring or defend proceedings.
46. Legal Costs and Recovery
Where legally recoverable, the Company may seek recovery of unpaid contractual sums and reasonable costs associated with recovering sums properly due.
Any recovery will be subject to applicable law and the court's powers.
47. No Waiver
If the Company does not immediately enforce a particular term or right, this does not mean that the Company has permanently waived that right.
Any waiver must be expressly confirmed in writing.
48. Severability
If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision will be treated as modified or removed only to the extent necessary.
The remaining provisions will continue to apply to the extent permitted by law.
49. Entire Agreement
The quotation, agreed scope, these Terms and Conditions, applicable invoices and agreed written variations form the contractual agreement between the Company and Client in relation to the relevant project.
Neither party should rely on a statement or representation that is not included in the agreed contractual documents, subject to any rights that cannot legally be excluded.
Nothing in this clause excludes liability for fraud or fraudulent misrepresentation or removes mandatory consumer rights.
50. Changes to These Terms
The version of these Terms and Conditions applicable to a project will normally be the version in force when the contract is entered into, unless the parties expressly agree otherwise.
Updating these website Terms in the future will not automatically change the terms of an existing project contract.
51. VAT
Unless otherwise stated in the quotation, prices are quoted without VAT because the Company is not currently charging VAT.
If the Company's VAT status changes, VAT will be dealt with in accordance with applicable law and the Client will be informed of any resulting change to applicable prices before affected work is undertaken where reasonably practicable.
52. Insurance and Professional Status
Uz Pro Construction LTD maintains appropriate business insurance for its activities.
The Company's current insurance arrangements do not extend to making the Company responsible for matters that are legally or contractually the responsibility of the Client, manufacturers, third parties or other contractors.
The Company is a Constructionline Gold member and has SSIP health and safety assessment credentials as applicable to its current business status.
53. No Guarantee of Existing Systems
Unless expressly included in the quotation, the Company does not guarantee the future performance of existing:
- Plumbing
- Drainage
- Electrical systems
- Heating systems
- Ventilation
- Structural elements
- Waterproofing systems
- Building fabric
Where an existing system is retained, its continued performance is dependent on its condition and suitability.
54. Changes to Tile, Fixture or Design Selections
Once materials have been ordered, delivered, cut or installed, Client-requested changes may result in additional:
- Materials costs
- Delivery costs
- Return costs
- Labour costs
- Disposal costs
- Reinstallation costs
The Company will not be responsible for costs arising solely from the Client changing previously approved selections.
55. Measurements and Site Conditions
Measurements provided during the quotation stage are estimates unless the Company has expressly agreed to provide a formal measured survey.
Final installation dimensions may change once existing finishes are removed or concealed areas become accessible.
The Company is not responsible for inaccuracies in Client-provided measurements, drawings or specifications.
56. Photographs, Drawings and Visual References
Images, drawings, mood boards, product photographs and visual examples may be used to communicate the intended appearance.
Unless expressly agreed, they are illustrative and do not guarantee an identical result where differences arise from:
- Product availability
- Natural materials
- Manufacturer variations
- Site dimensions
- Existing conditions
- Construction tolerances
- Practical installation requirements
57. Business-To-Business Clients
Where the Client is acting wholly or mainly for business purposes, different statutory rules may apply.
Certain consumer-specific provisions in these Terms may therefore not apply to business-to-business contracts.
The applicable quotation and agreed commercial contract will determine the payment, liability and other commercial terms for business clients, subject to applicable law.
58. Consumer Rights
Where the Client is a consumer, nothing in these Terms removes or restricts rights provided by applicable consumer protection legislation.
In particular, services supplied to consumers must be carried out with reasonable care and skill and other statutory remedies may apply where the legal requirements are not met.
Where a term conflicts with a mandatory statutory consumer protection requirement, the statutory requirement will prevail.
59. Governing Law and Jurisdiction
These Terms are governed by the law of England and Wales.
Subject to any mandatory consumer rights concerning jurisdiction, disputes may be dealt with by the courts of England and Wales.
